The Secretary to the Board has a crucial governance role in advising the Board and individual Board members and supporting good governance. The Secretary to the Board should advise the Board and Executive Team on governance, the role of the Board and Board matters.
The Secretary to the Board must directly support the Chair and the Board in ensuring that the Board receives appropriate, timely and high quality information in a form that allows it to monitor and scrutinise the College’s activities and to challenge performance when required. The Secretary to the Board must support the Chair, the Board, and the Executive Team in ensuring compliance with all relevant legislation and governance requirements.
The Secretary to the Board is accountable to the Board through the Chair on all matters relating to their duties. The Secretary to the Board will give sound, well-researched, independent and impartial advice and guidance to the Board, and will support Board Members in evaluating their effectiveness.
An effective working relationship with both the Chair of the Board of Management and the Principal is a key requirement.
As Secretary to the Board, you need to be able to:
- Attend all meetings of the Board of Management, Audit and Risk Committee, Finance and Resources Committee, Learning and Teaching Committee, Executive Committee, Nominations and Remuneration Committees and any other meetings as requested by the Chair (Note: College Secretariat are present at meetings to take a minute of meetings)
- Keep abreast of sector developments and relevant government policy and bring to the attention of Chair and the Board any matters which are likely to affect the arrangements in place for the College in relation to governance;
- Ensure all documentation relating to corporate governance, including the Board’s Standing Orders, Scheme of Delegation, Code of Conduct, Committee remits and Registers of Interest, are regularly reviewed and kept up-to-date and are approved by the Board prior to publication;
- Act in an independent and impartial capacity and, at the request of the Chair of the Board, secure professional advice or undertake research in order to brief the Chair and Board Members on relevant issues;
- Manage the process of Board appointments and reappointments, ensuring that the process takes account of any relevant ministerial guidance; and
- Develop and deliver an induction and annual development programme for Board members in collaboration with the Chair and the College Principal.
Knowledge, Skills and Experience:
- Have demonstrable knowledge of corporate governance within Further Education or other Public Sector organisations; an understanding of the legal framework in which the Board operates; and an appreciation of ethical standards and the principles of public life;
- Participate in appropriate development i.e. the College Development Network Governance Professionals Steering Group meetings;
- Have experience of governance frameworks, Code of Good Governance and compliance, Board of Management operations and supporting governance systems; and
- Be educated to degree level (SCQF Level 9) or equivalent’
- In addition, you must have the ability to build and maintain strong working relationships; remain independent and impartial; deliver to deadlines; and have meticulous attention to detail.
